Popl Advocate Program Terms & Conditions

These terms and conditions (collectively, the “Terms” or “Agreement”) set out the terms which govern the agreement between Popl, Inc., a Delaware corporation (“Popl” or the “Company”), individuals or entities who refer prospective customers through referral links (“Referrer”), and individuals or entities who receive such referral links and engage with Popl as a result (“Referee”), relating to the promotion of Popl’s Teams account (the “Service”) under the Popl Advocate Program (the “Program”).
By participating in the Program, Referrer agrees to be bound by these Terms. Participation in the Program begins when a Referrer shares a referral link or when a Referee engages with a referral link. By doing so, each party agrees to comply with these Terms.
1. Purpose
The Program is designed to reward both Referrer and Referee for taking specific, qualified actions that promote the adoption of Popl’s Event Lead Capture Plan. Popl may modify or terminate the Program at any time with or without notice.
2. Eligibility
Referrers:
To qualify as a Referrer, you must:

Be at least 18 years of age;

Be a current paying customer of a Popl Teams plan;

Not referring to your own business or entity under your control;
-
Have the legal right to refer contacts and communicate with Referees.
Referees:
Qualified Referee must be:

A legitimate business or organization not already in active sales discussions with Popl;

Not be an existing Popl customer or have previously engaged in a Popl Teams plan trial.

Be new to Popl Teams and complete a qualified demo using a valid referral link from a Referrer.
3. Qualified Referral Actions & Rewards
Rewards will be issued to both Referrer and Referee as digital gift cards based on the following qualified actions:
Referrer Rewards

$50 Gift Card: When the Referee completes a qualified product demo.

$100 Gift Card: When the Referee is accepted by Popl as a qualified sales opportunity.

$150 Gift Card: When the Referee purchases a qualified Teams account.*
*A qualified Team account is a) Event Lead Capture Plan that includes 10 or more users (subject to change) or b) Digital Business Card Plan with 50 or more users (subject to change).
Referee Reward

$25 Gift Card: Upon successful completion of a qualified Popl demo initiated through a valid referral.
All rewards are subject to verification by Popl. Each reward is issued once per Referee per action and may not be combined with other promotions unless explicitly stated.
Attribution Window:
Referral links are valid for 180 days from the time a Referee clicks the link. If the Referee completes a qualifying action (such as a demo or purchase) within that 180-day period and using the same browser or device, the Referrer will be credited with the referral. If the Referee clears cookies, uses a different browser or device, or takes action after the 180-day window has expired, the referral may not be attributed.
4. Reward Fulfillment

Rewards will be issued electronically via email within 60 days of the qualifying action.

Participants must remain in good standing with Popl at the time of reward fulfillment.

Rewards are non-transferable, have no cash value, and may be subject to expiration under issuer terms.

Popl reserves the right to modify reward amounts, eligibility, and distribution timelines with a 14-day notice.
5. Promotional Guidelines and FTC Compliance
Referrers must comply with all applicable advertising, privacy, and disclosure laws, including the FTC Endorsement Guidelines. When promoting Popl or the Program, you must disclose your participation and use appropriate hashtags (e.g., #Sponsored, #PoplReferral) when sharing on social media.
6. Use of Popl Brand Assets
Popl grants Referrers a limited, non-exclusive, revocable license to use Popl logos, trademarks, and materials solely to promote the Program.

You may not imply any partnership, agency, or employment relationship with Popl.

Misuse of Popl’s brand assets may result in termination from the Program and forfeiture of rewards.
7. Confidentiality
Both Referrers and Referees agree not to disclose or misuse any non-public information received during the course of participating in the Program. “Confidential Information” includes sales materials, referral terms, business strategies, or customer data provided by Popl.
8. Independent Status
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Popl.
You are participating independently and are solely responsible for any tax or legal obligations related to rewards received under the Program.
9. Indemnification
You agree to indemnify and hold Popl harmless from any third-party claims, losses, or liabilities (including legal fees) that result from your breach of these Terms, including misuse of Popl materials or illegal referral practices.
10. Limitation of Liability
To the fullest extent permitted by law:

Popl’s total liability to you shall not exceed the value of rewards issued to you in the prior 12 months;

Popl shall not be liable for indirect, incidental, or consequential damages, including lost profits or business interruptions.
11. Termination
Popl may suspend or terminate your participation in Program, at any time and for any reason, with or without notice. Your participation may also be terminated immediately if Popl determines, in its sole discretion, that you have engaged in fraud, abuse, misuse of the Program, violation of these Terms, or any activity that harms Popl’s reputation, operations, or customers.

No rewards will be granted for actions related to fraud, abuse, misuse of the Program, or referrals not fully qualified before the termination date.

Upon termination, you must cease all use of Popl promotional materials and links.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflicts of law rules.
13. Dispute Resolution
Any dispute arising from the Program will be resolved through binding arbitration held in California, in accordance with the rules of the American Arbitration Association.

The prevailing party will be entitled to recover reasonable attorney’s fees and costs.

Each party waives the right to a jury trial.
14. Miscellaneous

Severability: If any part of these Terms is deemed invalid, the rest shall remain in effect.

No Waiver: Failure to enforce any term is not a waiver of rights.

Entire Agreement: These Terms represent the full agreement between you and Popl regarding the Program.

Amendments: Popl may modify these Terms at any time with or without notice. Continued participation constitutes acceptance of the updated Terms.
